The ground rules, made clear

In short
- The Base store is free up to 30 orders a month. We never shut it off without warning.
- No contract: you can leave whenever you want.
- We don't touch your money: what your customers pay you goes straight to your account.
- Your customers, your products and your number are yours, and you take them with you.
- You are the seller: you answer to your customers for your products.
- There are only a few things that can't be sold, and they're in a short list, with the reasons why.
1. What cubobase is and who provides it
cubobase is a business run by Diego Maciel (sole proprietorship, registration in progress), based in Montevideo, Uruguay. It provides three things:
- The online store (CuboTienda), so your customers can see your products and place orders or bookings with you. Products can be physical or digital (files, links or codes the buyer receives by email).
- The Manager, an artificial intelligence assistant that answers your business's WhatsApp.
- The control app, where you run everything.
By opening a store or signing up for the Manager, you accept these terms and the privacy policy. To do so, you must be over 18 and able to act on behalf of your business.
2. Your account
- You log in with a code or a link we send you; there are no passwords. Look after the phone and the email where they arrive, because they are what gets someone into your app.
- If you think someone got in without permission, write to us and we'll log them out of every device.
- The information you enter (name, address, prices, bank transfer details) must be true and kept up to date.
3. Prices and payments
- Prices are the ones shown on cubobase.com on the day you sign up. They are in US dollars; amounts shown in Uruguayan pesos are approximate, at that day's exchange rate.
- Base store: free as long as you have up to 30 orders a month (orders and bookings are counted together). If you go over 30 in a month, that month costs USD 10: we let you know beforehand, when you reach 25, and the invoice arrives when the month closes. It's charged month by month: in any month you sell 30 or fewer, you pay nothing. We never shut your store off without warning.
- Manager and Professional store: whatever the pricing section says. The Manager has a one-time fee to get started and then a monthly price based on how many orders or bookings it handles.
- How to pay: with Mercado Pago or PayPal, which charge automatically every month, or month by month with the invoice that arrives by email (Mercado Pago, cash at Abitab or Red Pagos, or bank transfer). With Mercado Pago, the automatic charge is in Uruguayan pesos, at the exchange rate on the day it's charged.
- If an invoice goes unpaid, we write to you before doing anything. We don't charge late fees.
- If we change a price, we give you 30 days' notice. If it doesn't work for you, you can leave before it takes effect.
4. Your money
- What your customers pay you goes straight to your account at Mercado Pago or your bank. cubobase does not receive, hold or handle that money.
- What Mercado Pago charges for each sale is between you and Mercado Pago, under their terms. Claims about a payment (a chargeback, a refund) are settled with them. And your Mercado Pago account has to follow their rules: if you sell something they don't allow, they can block it.
- If a customer pays you by bank transfer or in cash, it's up to you to confirm the money arrived.
5. What's yours
- Your products, photos, prices, customers and your WhatsApp number are yours. If you leave, we give you your product list and your order list so you can take them with you.
- You give us permission to store and display that content in your store, and to use it as needed to provide the service (for example, so the Manager can answer). We don't use it for anything else.
- You must have the right to use the photos, texts and brands you upload, and to sell the files of your digital products: they must be yours, or you must have permission.
- The app, the stores, the Manager and the cubobase brand are ours. They may not be copied or resold.
6. What you sell and your customers
- You are the seller. You answer to your customers for your products and services, prices, deliveries, exchanges and returns, as required by the consumer protection law (Ley 17.250, Uruguay's consumer protection law). If you sell from another country, your country's laws apply too.
- cubobase is not a party to the sale. We give you the tool: we don't buy, we don't sell and we don't review what you publish beforehand. With digital products, we store your files and deliver them to whoever paid you, and nothing more.
- Complying with whatever your line of business requires (invoicing, permits, food safety rules if you sell food) is also your responsibility.
- What can't be sold is in this list: only what the law prohibits and what the companies cubobase depends on don't allow (the server, Mercado Pago, PayPal and WhatsApp). cubobase also may not be used to deceive anyone or to send messages people didn't ask for.
- If the store is used for any of that, we may take down whatever is necessary or suspend the account. Unless harm has to be stopped right away, we let you know first.
- If someone makes a claim against us over something you sold or published (a buyer, a brand owner, the author of a work or an authority), the claim is yours: you take responsibility for it and cover whatever it costs us, legal fees included.
- Your customers' data is yours: we look after it for you as the privacy policy says, and you, too, must use it only to serve them (not to sell it or to send them advertising they didn't ask for).
7. The Manager
- It answers with what you've given it: products, prices, opening hours, how you want it to talk. Keep it up to date; if a piece of information is wrong, so is the answer.
- It's artificial intelligence and it can make mistakes. Whatever it doesn't know, it asks you, and you can see every conversation and step in whenever you want.
- It doesn't change anything on its own: prices, stock or whether the business is open only change once you confirm.
- It doesn't pretend to be a person: if a customer asks whether it's human, it says no.
- WhatsApp belongs to Meta. Your business's WhatsApp account must follow Meta's rules. If Meta restricts or closes it, that's out of our hands, but we help you sort it out. If Meta charges for any type of message, we explain it to you before it applies.
8. The limits of our liability
- We do everything we can to keep cubobase always working and free of errors, and we make backups every day. Even so, there may be outages for maintenance or because of failures by others (the internet, Meta, Mercado Pago, PayPal).
- We are not liable for lost sales or lost profits caused by an outage or by a mistake made by the Manager.
- If something that is our fault causes you harm, our liability is limited to what you paid us in the last 3 months. This does not limit anything the law does not allow to be limited.
9. Canceling
- You can leave whenever you want by writing to contacto@cubobase.com. There's no minimum term and no penalty.
- From the following month on, you're no longer charged. If you pay with automatic charges, you can cancel them yourself in Mercado Pago or PayPal, or we'll help you. What has already been paid is not refunded.
- Before closing your account, we give you your products and your orders. After that, we delete the data as set out in the privacy policy.
10. Changes, governing law and contact
- If we change these terms, the version that applies is the one on this page, with its date at the top. If the change is important, we let you know beforehand through the app or by email.
- These terms are governed by the laws of Uruguay. If there's ever a problem we can't fix by talking, it will be settled by the courts of Montevideo (juzgados de Montevideo).
